Barrow Raiders’ board of directors have rescheduled the club AGM for this Thursday, 5 March, from 7:30pm in the MKM Marquee.
The meeting, originally scheduled for Thursday 26 February, was adjourned due to the failure to meet the quorum of 20 members (not including directors).
This is the second time the AGM has had to be adjourned in the last four years, and as a result, we would like to encourage more supporters to become members of the club.
All supporters are now invited to attend this Thursday’s AGM, where they can become members on the night by completing an application form, which will be approved by the directors.
Supporters can also become debenture holders if they desire, at a cost of £1 per debenture.
Most voting is by way of a show of hands, but should a poll be required, as in the case of the election of directors, then each member shall be entitled to one vote plus one vote for every debenture held, up to a maximum of 25,000.
The accounts for the period December 2023 to November 2024 will be presented for approval, and chairman Steve Neale will give an update on the fortunes of the club off the field, as well as providing an opportunity to ask questions of the board of directors.
After consulting with the club’s solicitors, it is the intention for the AGM to go ahead irrespective of numbers.
Whilst the Articles of Association ask for a minimum of 20 attendees, it also states that the AGM should be held within 15 months of the last one. Given that the last AGM was in December 2024, the club cannot continue to postpone.
The board of directors would like to propose that the quorum number be reduced from 20 people to 12 people for a club meeting. This vote will be by way of a show of hands, unless a poll is demanded by at least five members.
